Shp.xml are normal metadata XML files you can create with any metadata editor. For example the Geoportal Server: http://gptogc.esri.com. Sign up, create FGDC metadata (or iso dataset metadata) save, export to you shapefile and rename to yourshapefile.shp.xml.

Setup your own catalog using this product? Visit http://geoportal.sourceforge.net. Does not require any Esri cots license and uses the now *free* arcgis online map services (http://www.esri.com/software/arcgis/arcgisonline/standard-maps.html).
