Jeff,

This is not a dumb question at all.  It is a peculiarity of the state
corporate law governing us decisions of the board not made in a duly
constituted voice meeting where everyone can hear everyone else that
we need 100% consent to pass a motion.

So in a voice board meeting a majority if fine, assuming we have a quorum.
By email we need 100% of the board members not response affirmatively to
a motion for it to pass.
