Cameron,

As a matter of corporate law we cannot do that (with the
exception of the existing exception in law that we can do
so if all all members approve the motion - the law talks
about in writing I believe).

However, we could form a committee, delegate it
many powers of the board, and have it use a different
voting mechanism.  That is the essence of the Executive
Committee though it seems I may have taken too much
liberty in trying to go a bit further.

Not having anticipated this blow back I'm a bit unclear
how I want to proceed at this point.  I'm inclined to drop
the matter but that may just be sour grapes on my part.

I'll look for additional feedback between now and the
meeting and in the meeting.
