All,
If I correctly understand the request, see attached.  This is the Fiscal
Agent contract between SharedGeo and OSGeo for FOSS4GNA.  It is a blend of
Minneapolis NA unique circumstances and the previous Lessons Learned
contract between OSGeo and GITA for Denver.  Highlights:

Creates a legally recognized contractual arrangement between the LOC (no
legal standing), local fiscal agent (legal standing) and the then
unrecognized nonprofit OSGeo.
Provides provision to ensure FOSS4G NA proceeds would be tax free provided
appropriate steps were taken. (I previously provided extensive dialogue on
this issue before OSGeo achieved its current IRS status.)
Defines roles as OSGeo as financially backstop, SharedGeo as boots on the
ground financial oversight, contracting entity, and backstop in event of a
special event skills needed beyond volunteer capabilities.
Charges a total of 3% of gross, plus an hourly rate for special services
provided.

As far as I can remember, there was no specific agreement between our LOC
and OSGeo board beyond the awarding of the conference. The board did sign a
contract with our PCO. That agreement is attached.
