ok, so the 2 layers are not in the same projection, nor in the same datum.

You didn't mention which software does the overlay between the 2 layers, 
and what was the amount of shift you observed.

Software based on recent PROJ versions will typically apply HPGN grids 
to do NAD83 to WGS 84 coordinate transformations, when they are 
available, but the amount of correction due to those grids seem to be at 
most of 1 metre.
