For my example below the mapfile has:

  TRANSPARENT TRUE
  IMAGECOLOR 181 181 181

and mapcache.xml has:

 <source name="lakefinder_wms" type="wms">
    <http>
      <url>http://maps2.dnr.state.mn.us/cgi-bin/mapserv64?</url>
    </http>
    <getmap>
      <params>
        <LAYERS>dummy</LAYERS>
        <TRANSPARENT>false</TRANSPARENT>
        <FORMAT>PNG24</FORMAT>
        <MAP>LAKEFINDER_TILES_MAPFILE</MAP>
      </params>
    </getmap>
  </source>

  <tileset name="lakefinder">
    <source>lakefinder_wms</source>
    <grid>mn_google</grid>
    <cache>disk</cache>
    <format>PNGQ_FAST</format>
    <metatile>8 8</metatile>
    <metabuffer>20</metabuffer>
  </tileset>

My mn_google grid is just the standard Google grid mapcache defines along with a limited extent.

Thanks very much for your reply.  I actually worked #1 out - I had the 
wrong units set in the grid.

I'm only using the style in the .map file, and haven't set min and max 
scale at this point.  Linecolor and width are (I think) sufficient, 
since it's just drawing a grid.

I've tried various combinations of TRANSPARENT TRUE, IMAGECOLOR 
"#FFFFFF" and IMAGECOLOR #000000" in the mapfile, and turning 
transparent on and off in the mapcache file, and I get either white or 
black backgrounds in the cached tiles.  The mapserver tiles look fine in 
all cases.
