Dave,

This is a GDAL/OGR question and would be better addressed to the
gdal-dev mailing list.  If there is no .prj file, OGR will not return a
coordinate system.  Then you wouldn't be able to reproject it without
indicating an input coordinate system with the -s_srs commandline
switch.
