hi Roland,
ArcGIS 9.3 doesn't include the towgs-paramater in the prj-file.
maybe the original definition of a prj-file doesn't include the towgs-parameter, but gdal/ogr needs this information for a correct gdal-warp.
I know from the ESRI-side that you have to define this parameter manually for a correct on-the-fly-reprojection, the same for GRASS, because there are not unique towgs-parameter in the epsg-db. it depends from the purpose of the data.
