Sorry to multi-email on this.

I also added notes to effect that the ED will "need to be able to decide
how to allocate their own time within broad assigned priorities" and is
"not subject to direction by individual board members".

The ED is subject to the board as a whole, but should not be subject to
nine individual masters setting conflicting instructions.  And within their
assigning roles they need to be able to spend their time as they see
necessary.  This is all aimed at avoiding the ED being "micromanaged" by the
board or others.
