Perfect!  Setting the Imagecolor and Transparent=true did the trick.

     What is your output format?  And specifically does it support
transparency?  There are some details in this message,

    Also for MapServer services, are you using <param name="TRANSPARENT"
value="TRUE"/> same for requesting a format the supports transparency.
