I have no idea about SpatialAnalyst, but if you just want to count that 
number of sites that fall into each cell of a grid I have a modified 
version of s.to.rast that has a method option to handle multiple sites 
in a cell with the options being first,last,min,max,sum,count.

I can send you copy of the code if you are interested.
