In this case, policy trumps integrity, it's not voluntary:

We approved this because Tyler informed us that 501(c)3 requires the 
Foundation to have such a policy. Personally I would agree that Board
members selected for their representativeness and history of
committment should be trusted to "vote right" and direct the collective
conscience. But, as Frank pointed out, we should abide by this policy.
